1. Introduction

These Terms of Use ("Agreement") govern your access to and use of the Veyrova platform and related services (collectively, the "Services"), operated by Analytics Labs, Inc., a Delaware C-Corporation ("Veyrova," "Analytics Labs," "we," "our," or "us").

Veyrova is a brand and trading name of Analytics Labs, Inc. All references to "Veyrova" in this Agreement refer to Analytics Labs, Inc. operating under that brand.

By accessing the platform, creating an account, or using the Services, you represent that you have read, understood, and agree to be bound by this Agreement on behalf of the business entity you represent. If you do not have the authority to bind that entity, you must not accept this Agreement.

We may modify this Agreement at any time by posting an amended version on our website. Material changes will be communicated at least thirty (30) days in advance. Continued use of the Services after such changes constitutes acceptance.

2. Definitions

  • "Buyer" means a business entity that purchases or seeks to purchase Products through the platform.
  • "Supplier" means a factory, manufacturer, or distributor that lists or offers Products through the platform.
  • "Products" means electronic components, parts, subassemblies, and related materials made available through the platform, including but not limited to flight controllers, electronic speed controllers (ESCs), motors, propellers, frames, batteries, sensors, connectors, and wiring intended primarily for use in the design, assembly, or manufacture of unmanned aerial systems ("drones") and related equipment.
  • "Platform" means the Veyrova website, application, and associated technology infrastructure.
  • "Services" means the intermediary, sourcing, order facilitation, and related technology services provided by Veyrova connecting Buyers and Suppliers.
  • "Account" means the business account you register to access the Services.

3. Eligibility

The Services are intended exclusively for business-to-business ("B2B") use. By using the Services, you represent and warrant that:

  • You are a legally registered business entity, and the individual accepting this Agreement has the authority to bind that entity;
  • You will use the Services solely for legitimate commercial and industrial purposes related to your business;
  • You are not a natural person acting in a personal, family, or household capacity;
  • You are not located in, organized under the laws of, or ordinarily resident in a jurisdiction subject to comprehensive sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the European Union, the United Nations, or other applicable sanctions authorities;
  • You are not identified on any restricted, denied, or debarred party list maintained by the U.S. government or other applicable authority.

Veyrova reserves the right, at its sole discretion, to deny registration, suspend, or terminate access to the Services to any party for any lawful reason, including failure to satisfy compliance screening.

4. Nature of the Services

Veyrova operates as a technology intermediary and marketplace facilitator. Veyrova connects Buyers with Suppliers of electronic components and materials used in drone manufacturing. Except where explicitly stated otherwise:

  • Veyrova is not the manufacturer of the Products listed on the platform;
  • Veyrova does not itself design, fabricate, or physically inspect Products unless expressly agreed in a separate contract;
  • Contracts of sale for Products are formed directly between the Buyer and the relevant Supplier, facilitated by the platform;
  • Veyrova may, depending on the transaction flow, act as facilitator of payment, logistics coordination, and communication between the parties, but does not guarantee the performance of either party.

5. Account Registration and Management

To use the Services, you must register a business Account and provide accurate, current, and complete information, including business registration details, authorized representative identity, and, where required, tax identification information.

You are responsible for:

  • Maintaining the confidentiality of your Account credentials;
  • All activity that occurs through your Account;
  • Promptly notifying Veyrova of any unauthorized use or security breach.

Veyrova may require additional verification (know-your-business, beneficial ownership, or export compliance screening) before activating certain Account features or approving certain transactions.

6. Orders, Quotes, and Transactions

  • Product listings, specifications, and pricing displayed on the platform are indicative and do not constitute a binding offer unless expressly confirmed in a written quote or order confirmation.
  • Orders are subject to acceptance by the relevant Supplier and, where applicable, by Veyrova. Order confirmation, minimum order quantities, lead times, and specifications will be communicated at the time of quotation.
  • Buyers are responsible for verifying that the technical specifications of ordered Products are suitable for their intended application prior to purchase.
  • Cancellations, modifications, and returns are subject to the specific terms communicated at the time of order, which may vary by Supplier and Product category.

7. Pricing and Payment

  • All prices are quoted in the currency specified at checkout or in the applicable quotation and are exclusive of taxes, duties, and shipping costs unless stated otherwise.
  • Payment terms (including deposits, milestone payments, or payment-on-delivery arrangements) will be specified per transaction.
  • Veyrova reserves the right to suspend order processing pending payment verification or compliance screening.
  • You are responsible for all applicable import/export duties, tariffs, and taxes associated with your transactions.

8. Shipping, Delivery, and Risk of Loss

  • Shipping methods, delivery timelines, and incoterms will be specified per order.
  • Risk of loss and title to Products transfer as specified in the applicable order confirmation or shipping terms, generally upon handover to the designated carrier unless otherwise agreed.
  • Veyrova is not liable for delays, loss, or damage occurring during transit once Products have been handed to a third-party carrier, except as otherwise required by applicable law.

9. Export Control and Trade Compliance

Given the nature of the Products facilitated through the platform, you acknowledge and agree that:

  • You are solely responsible for determining and complying with all applicable export control, import control, and sanctions laws and regulations in your jurisdiction and the jurisdiction of any counterparty, including, where applicable, the U.S. Export Administration Regulations (EAR) and International Traffic in Arms Regulations (ITAR);
  • You will not use the Services to source, sell, purchase, or facilitate the transfer of Products to any sanctioned country, restricted end-user, or denied party;
  • You will ensure that any use of Products sourced through the platform, including use in defense, security, or dual-use applications, complies at all times with applicable export control, licensing, and sanctions requirements in your jurisdiction and that of any counterparty;
  • Veyrova reserves the right to request end-use and end-user information, refuse or cancel any transaction, and report suspected violations to relevant authorities where required by law.

Nothing in this Agreement shall be construed as Veyrova providing an export license, compliance determination, or legal advice regarding the classification or lawful use of any Product.

10. Prohibited Activities

You may not use the Services to:

  • Violate any applicable law, regulation, or sanctions regime;
  • Misrepresent your identity, business, or the intended end-use of any Product;
  • Source or supply counterfeit, stolen, or misappropriated components;
  • Use automated tools to scrape, extract, or replicate platform data without written permission;
  • Circumvent or interfere with the security or proper functioning of the platform;
  • Use the platform for consumer (non-business) purchases.

11. Intellectual Property

All content on the platform, including software, design, trademarks (including "Veyrova"), logos, and documentation, is owned by Analytics Labs, Inc. or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal business purposes. Nothing in this Agreement transfers any intellectual property rights in Products, which remain governed by the relevant Supplier's or manufacturer's own rights.

12. Product Warranties and Disclaimers

  • Products are supplied by independent Suppliers. Except where Veyrova expressly agrees in writing to provide a direct warranty, all product warranties (if any) are provided solely by the Supplier or original manufacturer.
  • VEYROVA MAKES NO WARRANTY, EXPRESS OR IMPLIED, REGARDING THE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, OR SAFETY OF ANY PRODUCT LISTED OR TRANSACTED THROUGH THE PLATFORM.
  • Buyers are solely responsible for testing, qualifying, and validating Products for their intended application, including compliance with applicable safety and regulatory standards.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VEYROVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS, OR DATA, ARISING FROM YOUR USE OF THE SERVICES OR ANY TRANSACTION FACILITATED THROUGH THE PLATFORM.

VEYROVA'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO VEYROVA (EXCLUDING PASS-THROUGH SUPPLIER PAYMENTS) IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Analytics Labs, Inc., its officers, directors, employees, and affiliates from any claims, damages, or expenses arising from: your breach of this Agreement, your violation of applicable law (including export control or sanctions law), misrepresentation of end-use, or any transaction conducted through your Account.

15. Confidentiality

Each party agrees to protect any non-public business, technical, or pricing information disclosed by the other party in connection with the Services with the same degree of care it uses to protect its own confidential information, and not to disclose it to third parties except as necessary to perform this Agreement or as required by law.

16. Term and Termination

This Agreement remains in effect until terminated. Either party may terminate by ceasing use of the Services and, where applicable, closing the Account. Veyrova may suspend or terminate access immediately in cases of suspected fraud, compliance violations, or breach of this Agreement. Provisions relating to liability, indemnification, confidentiality, and dispute resolution survive termination.

17. Governing Law and Dispute Resolution

This Agreement is governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from this Agreement shall be subject to the exclusive jurisdiction of the state or federal courts located in Delaware, unless the parties agree in writing to alternative dispute resolution.

18. Force Majeure

Veyrova shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, war, government action, trade restrictions, supply chain disruption, or infrastructure failures.

19. General Provisions

  • Entire Agreement: This Agreement, together with our Privacy Policy, constitutes the entire agreement between you and Veyrova regarding the Services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.
  • Assignment: You may not assign this Agreement without our prior written consent; Veyrova may assign this Agreement freely.
  • No Waiver: Failure to enforce a provision does not constitute a waiver of that provision.
